- 1998 - Retired after more than 30 years as attorney/counsel with The
Quaker Oats Company and its subsidiaries and affiliates. From 1981 to
1998 served as Vice President and Associate General Counsel and Vice
President International Law.
- Counsel for the Worldwide Beverage Division ("Gatorade" Thirst Quencher)
and the International Foods Division.
- Resident in the Company's European headquarters (Brussels) 1993 -
1995.
- Served as principal counsel to the Company's international operations
in respect of commercial law, litigation and dispute management, trademarks,
unfair competition, regulatory matters, advertising, and competition
law and to the parent company with respect to corporate and securities
law, finance, corporate governance, executive compensation and employment
law. Roles included counseling, negotiation and advocacy.
- Part of the general management of the Company's Law Department.
- Officer and/or director of many of the Company's subsidiaries and
affiliates outside of the United States.

Selected Professional Experience
Lead advocate in 80 to 100 employment arbitration proceedings.
Participant in various adversarial proceedings in the United States, Latin
America and Europe, including commercial, trademark, unfair competition, antitrust,
regulatory, employment and criminal matters.
Lead inside counsel in numerous international strategic transactions, including:
Acquisitions of consumer products businesses in the United States, Italy,
Brazil, Colombia, France, The Netherlands, the United Kingdom and Uruguay.
Divestiture in 1995 of European Petfoods Business having operations in seven
countries and sales in excess of U.S.$1 billion per annum, including proceedings
before the Merger Task Force of the Competition Directorate of the European
Commission.
The negotiation, formation, administration and termination of licenses, joint
ventures and other strategic alliances in The Russian Federation, Latin America,
Western Europe, Australia, Asia and the United States.
The establishment, modification and termination of relationships with distributors,
licensees and other commercial intermediaries in various regions, including
Latin America, Western Europe, Asia, and Eastern/Central Europe.
Spin-off to shareholders through a tax-free distribution of shares listed
on the New York Stock Exchange of Fisher-Price, Inc., an international manufacturer
and marketer of toys.
Divestiture of an industrial chemicals division with wholly-owned operations
in the United States and Europe and a joint venture in Japan.
Divestitures of various other wholly-owned international business units including,
inter alia, units located and operating in Italy, France, The Netherlands,
Mexico, the UK and the United States.
